Terms And Conditions Summary

These Terms apply to FabProfit System, Metal Fabrication Power Tools, and related websites, calculator tools, report pages, digital downloads, spreadsheets, templates, course materials, implementation assets, company licenses, services, and communications provided by Greg Sheldon.
1. Agreement
By visiting the website, using the calculator, requesting a report, submitting a form, sending an inquiry, buying or licensing materials, downloading files, accessing course content, joining a company license, or using any FabProfit System material, you agree to these Terms and the Privacy Policy.
If you do not agree, do not use the website, calculator, reports, downloads, products, company license, or related services.
If a separate written agreement is signed by both parties, that written agreement controls where it directly conflicts with these Terms.
2. Business Use And Authority
FabProfit System is intended for business and professional use by fabrication companies, estimators, owners, executives, managers, PMs, purchasing teams, shop leaders, field leaders, and related stakeholders.
If you purchase, license, or access FabProfit on behalf of a company, you represent that you have authority to bind that company or that you are authorized to participate under that company’s license.
3. What FabProfit Is
FabProfit System provides education, frameworks, implementation resources, spreadsheets, calculators, templates, checklists, quote language, report tools, and operating support designed to help fabrication companies improve estimating discipline, quote clarity, risk review, pricing logic, margin awareness, and internal handoff quality.
FabProfit is not a replacement for your estimator, ERP, accountant, lawyer, engineer, safety professional, project manager, qualified welding personnel, or company leadership.
4. User Responsibility
You are responsible for reviewing, verifying, approving, and professionally applying all information produced by or entered into FabProfit materials.
You remain fully responsible for:
- all estimates, quote amounts, sell prices, markups, margins, assumptions, exclusions, alternates, terms, taxes, and contracts;
- labour rates, burden rates, overhead recovery, material pricing, supplier quotes, vendor costs, freight, equipment, field costs, and subcontractor pricing;
- engineering, code compliance, safety requirements, welding procedures, inspection requirements, permits, taxes, legal terms, insurance, and commercial risk;
- checking formulas, spreadsheet outputs, calculator logic, report assumptions, and any numbers before using them for a real quote or business decision.
FabProfit materials are educational and operational support. They are not legal, financial, accounting, tax, engineering, safety, insurance, procurement, contract, or professional advice.
5. Company License And Access
Unless a separate written agreement says otherwise, purchase or access to FabProfit gives the customer a limited, revocable, non-exclusive, non-transferable license to use the materials internally for the licensed company or approved team.
The license may include access to course materials, templates, spreadsheets, calculators, workbooks, implementation documents, report tools, quote language, company rollout resources, updates, and related support as described on the sales page, invoice, checkout page, proposal, or written agreement.
You may use the materials internally for training, estimating process improvement, company implementation, quoting support, and related internal business workflows. You may not transfer the license to another company, public audience, separate business, association, school, competitor, reseller, contractor, or third party without written permission.
Access limits, team seats, license term, renewal rights, support scope, updates, custom work, payment terms, and implementation assistance may be adjusted by written agreement.
6. Payment, Pricing, And Taxes
Prices are listed in the currency shown on the applicable sales page, proposal, invoice, payment link, checkout page, or written agreement. Pricing may change at any time before purchase or before a written agreement is accepted.
You are responsible for paying all applicable charges, taxes, fees, duties, and payment-processing costs unless a written agreement says otherwise.
Access may be delayed, suspended, or cancelled for failed payment, chargeback, suspected fraud, payment dispute, unauthorized purchase, or violation of these Terms.
7. Refunds
Because FabProfit includes digital materials, downloadable files, spreadsheets, templates, course content, implementation assets, and proprietary intellectual property that can be accessed, copied, or used immediately, all sales are final unless a specific refund policy, guarantee, or written agreement clearly states otherwise.
If a refund guarantee is offered in writing, the customer must follow the instructions, time limits, eligibility rules, and proof requirements of that guarantee.
Refunds may be denied if the refund period has expired, no refund guarantee applies, access was used substantially, materials were downloaded, the product was sold as non-refundable, the customer violated these Terms, or the request appears abusive, fraudulent, or inconsistent with the stated policy.
If a refund is approved, access may be removed immediately.
8. Intellectual Property
All FabProfit System materials are protected by copyright, trademark, trade secret, contract rights, and other intellectual-property rights. This includes but is not limited to videos, lessons, scripts, workbooks, spreadsheets, formulas, calculators, templates, report structures, quote language, implementation documents, frameworks, graphics, webpage copy, brand names, slide materials, downloads, and course content.
Except for the limited internal-use license granted to an authorized purchaser or licensee, no ownership rights are transferred to you or your company.
You may not remove copyright notices, ownership notices, disclaimers, warning labels, duplication notices, or branding from the materials unless written permission is granted.
9. No Duplication Or Resale
You may not copy, duplicate, publish, upload, post, resell, share, gift, distribute, sublicense, repackage, rebrand, clone, reverse engineer, create derivative products from, sell access to, or make the materials available to anyone outside the licensed company or authorized team.
This applies to videos, PDFs, downloads, spreadsheets, calculators, templates, prompts, scripts, workbooks, quote language, course content, implementation documents, and all other FabProfit materials.
Access may be terminated immediately without refund if this section is violated.
10. Spreadsheets, Calculators, Templates, And Reports
FabProfit spreadsheets, calculators, templates, reports, and tools are provided to support estimating discipline and business decision-making. They may contain formulas, assumptions, example values, prompts, templates, and default logic that must be reviewed before real-world use.
You are responsible for verifying:
- formula accuracy and cell references;
- units of measure, currency, taxes, and pricing inputs;
- material weights, labour hours, rate tables, supplier pricing, equipment costs, subcontractor costs, freight, risk, contingency, margin, and sell price;
- compatibility with your own ERP, accounting, estimating, takeoff, quoting, and document-control systems;
- spreadsheet protection, version control, user access, backups, and internal approvals.
Calculator and report outputs are planning aids based on user input. They are not financial guarantees, valuation opinions, engineering opinions, accounting advice, or promises of recovered margin.
11. AI-Assisted And Drawing-Assisted Workflows
Some FabProfit materials may support AI-assisted, ChatGPT-assisted, drawing-assisted, or template-assisted workflows, including BOM extraction, estimate review, quote wording, checklist development, or report generation.
AI and automation can make mistakes. Drawing-assisted outputs may miss items, misread dimensions, misunderstand material specs, fail to capture revisions, or produce incorrect assumptions. You must review all outputs using qualified human judgment before using them for purchasing, estimating, quoting, fabrication, installation, safety, engineering, or contract decisions.
You are responsible for protecting confidential drawings, customer information, bid documents, rate sheets, and proprietary company data when using any third-party AI, OCR, takeoff, cloud, ERP, or automation service.
12. Third-Party Platforms And Services
FabProfit may use or link to third-party services such as website hosting, payment processors, email platforms, course platforms, checkout tools, analytics providers, file storage, automation tools, CRM systems, calendar tools, video hosting, or other service providers.
Third-party services are governed by their own terms, privacy policies, availability, security practices, fees, limitations, and support rules. We are not responsible for third-party downtime, account restrictions, policy changes, data loss, payment errors, platform issues, or service interruptions.
13. Prohibited Uses
You agree not to use the website, products, tools, or materials to:
- violate any law, regulation, code, safety requirement, contract, intellectual-property right, or third-party right;
- misrepresent FabProfit outputs as guaranteed, certified, engineered, audited, legally approved, or professionally verified;
- bypass qualified engineering, safety, welding, inspection, tax, legal, insurance, or accounting review;
- copy, scrape, publish, train competing products on, resell, repackage, or distribute the materials;
- share access credentials or license materials outside the authorized company or team;
- upload malware, interfere with website operation, abuse support, or attempt unauthorized access;
- use the materials to build, market, or sell a competing course, calculator, workbook, template, spreadsheet, report, or estimating system.
14. Support And Updates
Support, updates, implementation help, strategy sessions, customization, review calls, and one-on-one assistance are provided only if stated on the sales page, invoice, checkout page, proposal, or written agreement.
Updates may be added, changed, delayed, removed, limited, or discontinued. Unless a written agreement says otherwise, updates do not include custom software development, ERP integration, individualized legal review, engineering review, accounting review, tax advice, or done-for-you estimating work.
15. No Guaranteed Results
FabProfit is designed to improve estimating discipline, scope review, quote structure, risk awareness, pricing logic, and company process maturity. However, results depend on implementation, market conditions, leadership, data quality, job selection, team adoption, customer behaviour, supplier pricing, field conditions, execution quality, and many factors outside our control.
We do not guarantee that you will win jobs, increase profit, recover margin, reduce losses, prevent all estimating errors, improve cash flow, increase company value, reduce ERP problems, avoid disputes, avoid rework, or achieve any specific financial result.
Testimonials, examples, calculator outputs, case scenarios, sample numbers, and reports are for illustration and planning only. Your results may differ.
16. Liability Limits
To the maximum extent permitted by law, FabProfit System, Metal Fabrication Power Tools, and Greg Sheldon are not liable for indirect, incidental, consequential, special, punitive, exemplary, or business-loss damages, including lost profit, lost revenue, lost bids, underpriced jobs, overpricing, missed scope, project losses, rework, delay, contract disputes, customer claims, ERP issues, spreadsheet errors, formula errors, data loss, or operational decisions made by you or your company.
To the maximum extent permitted by law, any total liability related to the website, materials, products, services, or these Terms is limited to the amount actually paid by the customer for the specific product or service giving rise to the claim during the six months before the claim.
Some jurisdictions do not allow certain liability limits, so some limits may not apply to you.
17. Termination
We may suspend, restrict, or terminate access without refund if you violate these Terms, fail to pay, abuse support, share access, duplicate materials, misuse intellectual property, attempt unauthorized access, create legal risk, or use the materials in a prohibited way.
After termination, you must stop using the materials and, if requested, delete or return unauthorized copies. Sections covering intellectual property, payment, refunds, prohibited use, confidentiality, no duplication, liability, indemnity, governing law, and dispute-related provisions survive termination.
18. Governing Law
Unless a separate written agreement says otherwise, these Terms are governed by the laws of Nova Scotia and the applicable laws of Canada, without regard to conflict-of-law principles.
Any dispute that cannot be resolved informally may be handled in the courts or dispute forum with jurisdiction, unless a separate written agreement requires another venue, process, or governing law.
19. Changes To These Terms
These Terms may be updated from time to time. Updated Terms will be posted on this page with a new effective date. Continued use of the website, calculator, reports, products, downloads, services, or company license after updates may be treated as acceptance of the updated Terms where permitted by law.
